EduMzansi Terms of Service

1. INTRODUCTION AND ACCEPTANCE

1.1. These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “Student,” “Learner,” “Instructor,” parent/legal guardian, or “You”) and EduMzansi (“EduMzansi,” “we,” “us,” “our,” or “the Platform”).

EduMzansi is operated by Ultimate Innovative Solution (Pty) Ltd, registration number 2024/284478/07, a company incorporated in the Republic of South Africa and trading as EduMzansi.

1.2. By accessing, browsing, registering on, or using the EduMzansi website located at www.edumzansi.org, including all associated subdomains, pages, content, tools, features, and services (collectively, the “Platform”), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. 

1.3. If you do not agree to these Terms, you must immediately cease using the Platform and deactivate your account if one has been created. 

1.4. These Terms are supplemented by our Privacy Policy, Refund Policy, Cookie Policy, and any additional agreements or policies referenced herein, all of which are incorporated by reference.

1.5. EduMzansi reserves the right to modify, update, or replace these Terms at any time, with or without prior notice. The most current version will always be available on this page with an updated “Last updated” date. Your continued use of the Platform after any modifications constitutes acceptance of the revised Terms. 

1.6. These Terms are governed by and must be interpreted in accordance with the following South African legislation: the Consumer Protection Act (CPA), Act 68 of 2008; the Electronic Communications and Transactions Act (ECTA), Act 25 of 2002; the Protection of Personal Information Act (POPIA), Act 4 of 2013; and any other applicable South African laws. 

2. DEFINITIONS

2.1. Information You Provide Directly

“Account” means the personal user account created by a User upon registration on the Platform.

“Content” means all materials made available through the Platform, including but not limited to live class sessions, live class links, documents, PDFs, presentations, worksheets, templates, quizzes, assignments, assessments, discussion posts, instructor feedback, certificates, images, graphics, downloadable resources, video or audio recordings where expressly provided, and any other educational or supplementary materials.

“Course” means any structured online learning programme, live cohort, bootcamp, workshop, masterclass, short course, certificate of completion programme, or training module offered through the Platform.

“Cohort” means a specific group of Students enrolled in the same Course who progress through the curriculum together according to a predetermined schedule, with shared start and end dates. 

“Instructor” means any individual, educator, trainer, subject matter expert, or content creator who has been vetted, approved, and authorised by EduMzansi to create, publish, and/or deliver Course content on the Platform. 

“Student,” “Learner,” or “User” means any individual who creates an Account on the Platform, whether for the purpose of browsing, enrolling in Courses, purchasing Courses, or accessing any Platform features.

“Certificate” means a digital certificate of completion issued by EduMzansi after a Student meets the relevant Course requirements. Unless expressly stated otherwise on the relevant Course page, EduMzansi certificates are non-accredited certificates of completion and are not formal qualifications, degrees, diplomas, NQF-registered credentials, professional licences, or accredited certifications.

“Platform” means the EduMzansi website (www.edumzansi.org), including all pages, tools, features, APIs, mobile responsive views, and associated services. 

“Intellectual Property” or “IP” means all copyrights, trademarks, trade secrets, patents, designs, logos, brand names, course materials, proprietary methodologies, and any other intellectual property owned by or licensed to EduMzansi or its Instructors.

3. ELIGIBILITY AND ACCOUNT REGISTRATION

3.1. Age Requirements

3.1.1. EduMzansi is designed to support learners, students, young adults, parents, educators, working professionals, entrepreneurs, and other users.

3.1.2. If you are under the age of 18, you may use the Platform only with the consent and supervision of a parent or legal guardian.

3.1.3. By allowing a minor to create an Account, enrol in a Course, attend live classes, submit assignments, or use the Platform, the parent or legal guardian accepts responsibility for the minor’s use of the Platform and compliance with these Terms.

3.1.4. EduMzansi may request proof of parent or guardian consent where reasonably necessary to protect the rights and safety of a minor or to comply with applicable law.

3.2. Registration Requirements

3.2.1. To access certain features of the Platform, including Course enrolment and purchase, you must create an Account by providing accurate, current, and complete information, including your first name, last name, email address, and a secure password.

3.2.2. You are solely responsible for maintaining the confidentiality and security of your Account credentials, including your password. You must not disclose your password to any third party.

3.2.3. You are responsible for all activities that occur under your Account, whether or not authorised by you. You must immediately notify EduMzansi of any unauthorised access to or use of your Account.

3.2.4. Each individual may only create one Account. Creating multiple Accounts for the purpose of abusing promotions, referral programmes, or circumventing restrictions is prohibited and may result in the termination of all associated Accounts.

3.2.5. EduMzansi reserves the right to verify the information provided during registration and to refuse, suspend, or terminate any Account at its sole discretion, including but not limited to cases of suspected fraud, misrepresentation, or violation of these Terms.

3.2.6. You may deactivate your Account at any time by contacting
info@edumzansi.org. Deactivation does not entitle you to a refund of any paid Course fees unless the refund conditions in Section 6 or the Refund Policy are met.

3.3. Account Sharing

3.3.1. Your Account is personal and non-transferable. You may not sell, trade, gift, or otherwise transfer your Account to any other person.

3.3.2. You may not allow any other person to access the Platform using your Account credentials. Sharing login credentials, including sharing access with family members, colleagues, or friends, is strictly prohibited.

3.3.3. If EduMzansi detects that an Account is being shared or accessed by multiple users (through IP analysis, concurrent session detection, or other technical means), EduMzansi reserves the right to immediately suspend or terminate the Account without notice and without refund.

4. COURSES, ENROLMENT, AND ACCESS

4.1. Course Information

4.1.1. EduMzansi strives to provide accurate and up-to-date Course descriptions, including curriculum outlines, learning outcomes, instructor profiles, pricing, duration, schedule, and prerequisites.

4.1.2. However, Course content, curricula, schedules, instructors, and other details are subject to change at any time at EduMzansi’s discretion, including but not limited to updates reflecting industry changes, instructor availability, student feedback, or technical requirements.

4.1.3. While EduMzansi uses commercially reasonable efforts to ensure the quality and accuracy of Course content, we do not warrant that any Course will meet your specific expectations, requirements, or learning objectives.

4.2. Enrolment

4.2.1. To enrol in a Course, you must have a registered Account in good standing and, where applicable, complete the required payment process as described in Section 5.
4.2.2. Enrolment in a Course constitutes your agreement to comply with all Course-specific requirements, including attendance expectations, assignment deadlines, community conduct standards, and any prerequisites stated on the Course page.

4.2.3. EduMzansi reserves the right to refuse or cancel your enrolment at any time if you are found to be in violation of these Terms, if payment is not successfully processed, or if the Course is cancelled, postponed, or reaches maximum capacity.

4.2.4. Where a Course has prerequisites, it is your responsibility to ensure you meet those prerequisites before enrolling. EduMzansi does not guarantee outcomes for Students who enrol without meeting the stated prerequisites.
4.2.5. Enrolment in a Course does not guarantee placement in a specific Cohort, session, or time slot unless explicitly confirmed by EduMzansi in writing.

4.3. Course Access

4.3.1. Upon enrolment, you will be granted access to the Course content, materials, live class sessions, and
associated resources for the duration specified on the Course page.

4.3.2. Unless otherwise stated, Course content remains accessible for a period of twelve (12) months from the date of enrolment. After this period, access may be revoked without notice.

4.3.3. EduMzansi reserves the right to remove, modify, or restrict access to any Course content at any time, including after your enrolment, without liability.

4.3.4. Access to live class sessions through Zoom, Google Meet, or similar platforms is limited to the scheduled class dates and times. Unless expressly stated otherwise on the relevant Course page, live classes are not recorded and recordings are not provided. Students are responsible for checking the Course schedule before enrolling and attending live sessions on time.

4.4. Cohort-Based Courses

4.4.1. Cohort-based Courses operate on fixed schedules with specific start and end dates. Late enrolment after a Cohort has commenced may not be permitted.

4.4.2. Students are expected to progress through the Course according to the Cohort schedule, attending live sessions, completing assignments by due dates, and participating in discussions.

4.4.3. If you fall behind in a Cohort due to personal circumstances, you may request a one-time transfer to a future Cohort, subject to availability and EduMzansi’s approval.

4.4.4. EduMzansi does not guarantee that a future Cohort will be available at the time of your transfer request. Where no future Cohort is available within six (6) months of your request, you may be entitled to a Course credit or partial refund at EduMzansi’s discretion.

4.5. Free Resources and Content

4.5.1. EduMzansi offers certain educational resources, study materials, past papers, career guides, and other content free of charge, without requiring Course enrolment or payment.

4.5.2. Access to free resources is subject to these Terms in their entirety, including the intellectual property restrictions in Section 7 and the conduct standards in Section 8.

4.5.3. EduMzansi reserves the right to withdraw, modify, or restrict access to any free resource at any time without notice or liability.

4.5.4. Free resources do not include live class access, instructor feedback, assignments, or certificates unless explicitly stated on the relevant resource page.

5. PAYMENT, PRICING, AND TAXES

5.1. Currency and Pricing

5.1.1. All prices on the Platform are displayed in South African Rand (ZAR), unless otherwise stated.
5.1.2. EduMzansi is not currently VAT registered. Prices do not include VAT unless expressly stated otherwise. If EduMzansi becomes VAT registered in future, pricing, invoices, receipts, and tax wording may be updated accordingly.

5.1.3. Promotional pricing, discount codes, and special offers are valid only for the specified period and are subject to specific terms and conditions which will be communicated at the time of the promotion.

5.2. Payment Processing

5.2.1. Payments are processed through secure third-party payment providers made available on the Platform from time to time, which may include PayPal, card payment providers, EFT providers, or other WooCommerce-supported payment gateways.

EduMzansi does not directly collect, store, process, or have access to your full credit card numbers, debit card numbers, CVV codes, banking login credentials, or full bank account details.

5.2.2. By making a purchase, you authorise EduMzansi and its payment processors to charge the applicable fees to your selected payment method.

5.2.3. If a payment fails, is declined, or is reversed for any reason, EduMzansi reserves the right to suspend your access to the Course until the payment issue is resolved.

5.2.4. All transactions are subject to validation and fraud checks. EduMzansi reserves the right to cancel any transaction suspected of being fraudulent.

5.3. Invoices and Receipts

5.3.1. A payment receipt will be sent to your registered email address upon successful payment.

5.3.2. Payment receipts or invoices for business or corporate purchases may be requested by emailing info@edumzansi.org with the relevant purchase and billing details. EduMzansi does not issue VAT invoices unless and until it becomes VAT registered.

6. REFUND AND CANCELLATION POLICY

6.1. Refunds and cancellations are governed by our separate Refund Policy, available at edumzansi.org/refund-policy/, which is incorporated into these Terms by reference.

6.2. Certain South African consumer protection laws may provide consumers with cooling-off rights in specific circumstances, including under the Electronic Communications and Transactions Act, 25 of 2002, for qualifying electronic transactions, and under the Consumer Protection Act, 68 of 2008, for qualifying direct marketing transactions.

Where a statutory cooling-off right applies, EduMzansi will honour that right in accordance with applicable South African law.

6.3. For full details on cooling-off periods, eligibility criteria, partial refunds, course transfers, and the refund process, please refer to our Refund Policy.

7. INTELLECTUAL PROPERTY RIGHTS

7.1. Ownership

7.1.1. All Content on the Platform, including but not limited to Course materials, video recordings, audio recordings, documents, presentations, worksheets, templates, graphics, logos, brand elements, website design, source code, and software, is the intellectual property of EduMzansi, its Instructors, or its licensors, and is protected by South African and international copyright, trademark, and other intellectual property laws.

7.1.2. The EduMzansi name, logo, tagline (“Africa’s Job Skills Platform”), and all related brand elements are trademarks of EduMzansi and may not be used without prior written permission.

7.2. Limited Licence

7.2.1. Upon enrolment in a Course, EduMzansi grants you a limited, non-exclusive, non-transferable, revocable licence to access and view the Course content solely for your personal, non-commercial educational purposes.

7.2.2. This licence does not include the right to copy, reproduce, modify, distribute, publicly display, publicly
perform, transmit, broadcast, create derivative works from, sell, resell, license, sublicense, or otherwise exploit any Content, in whole or in part.

7.3. Prohibited Actions

7.3.1. The following actions are strictly prohibited and may result in immediate Account termination, legal action, and claims for damages:

  • Screen recording, screen capturing, or otherwise recording any live class, video, or Content
  • Downloading, saving, or extracting any Content except where an explicit download option is provided
  • Sharing, distributing, uploading, or making any Content available to third parties, whether publicly or privately, including on social media, file-sharing platforms, messaging apps, or other websites
  • Using any Content for commercial purposes, including incorporating it into paid training, consulting services, or products
  • Removing, altering, or obscuring any copyright notices, watermarks, or other proprietary markings on Content
  • Using automated tools, bots, scripts, or web scraping technologies to access, download, or copy Content

8. STUDENT CONDUCT AND COMMUNITY STANDARDS

8.1. Expected Behaviour

8.1.1. EduMzansi is committed to maintaining a safe, respectful, inclusive, and professional learning environment. All Users are expected to conduct themselves with integrity, respect, and professionalism in all interactions.

8.1.2. This includes, but is not limited to, behaviour during live class sessions, in Q&A forums, in private messages to Instructors or other Students, in assignment submissions, and in any other Platform interactions.

8.2. Prohibited Conduct

8.2.1. The following conduct is strictly prohibited:

  • Harassment, intimidation, bullying, threats, or abusive behaviour directed at any User, Instructor, or EduMzansi staff member
  • Discrimination or hateful speech based on race, ethnicity, gender, sexual orientation, religion, disability, age, nationality, or any other protected characteristic
  • Sharing offensive, obscene, sexually explicit, violent, or otherwise inappropriate content
  • Plagiarism, cheating, or academic dishonesty, including submitting work that is not your own, using unauthorised materials during assessments, or sharing quiz/assessment answers with others
  • Impersonating another person or misrepresenting your identity or affiliations
  • Spamming, soliciting, advertising, or promoting products or services unrelated to EduMzansi
  • Attempting to hack, disrupt, or gain unauthorised access to the Platform, its systems, databases, or other Users’ Accounts
  • Using the Platform for any illegal, fraudulent, or unauthorised purpose

8.3. Consequences

8.3.1. EduMzansi reserves the right to investigate any reported or suspected violations of these conduct standards.

8.3.2. Depending on the severity of the violation, consequences may include a written warning, temporary
suspension of Account access, permanent Account termination, removal from a Course without refund, reporting to relevant authorities, and/or legal action.

8.3.3. EduMzansi’s decisions regarding Platform access and internal disciplinary action will be made in good faith, based on available evidence, and subject to any rights a User may have under applicable South African law.

9. CERTIFICATES AND CREDENTIALS

9.1. EduMzansi may issue a digital Certificate of Completion to Students who successfully meet the completion requirements for a Course.

9.2. Course completion requirements may include attendance, lesson completion, assignment submissions, quiz or assessment results, final projects, participation, or any other criteria stated on the relevant Course page or inside the Course.

9.3. Certificates may include the Student’s full name, Course name, completion date, certificate ID, and EduMzansi branding.

9.4. Unless expressly stated otherwise on the relevant Course page, EduMzansi certificates are non-accredited certificates of completion. They do not constitute formal academic qualifications, degrees, diplomas, NQF-registered credentials, professional licences, or accredited certifications.

9.5. EduMzansi does not guarantee that any certificate will be accepted by an employer, institution, regulator, professional body, or third party.

9.6. EduMzansi reserves the right to withhold, revoke, or correct a Certificate if it is issued in error or if the Student obtained it through fraud, plagiarism, impersonation, academic dishonesty, or violation of these Terms.

10. INSTRUCTORS AND THIRD-PARTY CONTENT

10.1. Courses on EduMzansi may be created or delivered by EduMzansi staff, internal facilitators, approved instructors, independent contractors, or third-party subject matter experts.

10.2. Instructor registration, where available, is subject to EduMzansi review and approval. Registration as an instructor does not guarantee approval, Course publication rights, payments, commissions, or continued instructor access.

10.3. Approved Instructors may be permitted to submit Courses for review. EduMzansi reserves the right to approve, reject, edit, request changes to, unpublish, or remove any Course or Course content before or after publication.

10.4. No Instructor may claim to represent EduMzansi, publish a Course, collect payments, or use EduMzansi branding unless expressly authorised in writing.

10.5. Any advice, information, or recommendations provided by Instructors are for educational purposes only and should not be relied upon as professional, legal, financial, medical, tax, investment, or other specialised advice.

11. DISCLAIMERS AND LIMITATION OF LIABILITY

11.1. No Guarantee of Outcomes

11.1.1. EduMzansi provides educational content and skills training. We do not guarantee any specific employment outcomes, job placements, income levels, business results, career advancement, or other results from completing any Course.

11.1.2. Success depends on numerous factors beyond our control, including but not limited to your individual effort, dedication, prior experience, market conditions, and other personal circumstances.

11.2. Platform Availability

11.2.1. EduMzansi strives to maintain the Platform’s availability 24 hours a day, 7 days a week. However, we do not guarantee uninterrupted, error-free, or secure access to the Platform.

11.2.2. The Platform may be temporarily unavailable due to scheduled maintenance, system updates, technical issues, internet service disruptions, server failures, third-party service outages, natural disasters, or other circumstances beyond our reasonable control.

11.3. Limitation of Liability

11.3.1. To the maximum extent permitted by law, EduMzansi, its directors, employees, agents, partners, suppliers, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses.

11.3.2. EduMzansi’s total aggregate liability to you for any and all claims arising out of or related to these Terms or your use of the Platform shall not exceed the total amount you paid to EduMzansi in the twelve (12) months immediately preceding the event giving rise to the claim.

11.3.3. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable South African law, including liability arising from gross negligence, wilful misconduct, fraud, or statutory consumer rights.

12. INDEMNIFICATION

12.1. You agree to indemnify, defend, and hold harmless EduMzansi, its directors, officers, employees, agents, licensors, and suppliers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: your use of the Platform; your violation of these Terms; your violation of any third party’s rights, including intellectual property rights; any Content you submit or share on the Platform; or any activity conducted through your Account.

13. PRIVACY AND DATA PROTECTION

13.1. EduMzansi is committed to protecting your personal information in accordance with the Protection of Personal Information Act (POPIA), Act 4 of 2013.

13.2. Our collection, use, storage, and disclosure of your personal information is governed by our Privacy Policy, available at edumzansi.org/privacy-policy/, which forms an integral part of these Terms.

13.3. By using the Platform, you consent to the collection and processing of your personal information as described in our Privacy Policy.

14. THIRD-PARTY SERVICES AND LINKS

14.1. The Platform may integrate with or contain links to third-party services, which may include Zoom, Google Meet, PayPal, WooCommerce-supported payment providers, YouTube, email providers, analytics tools, social media platforms, and other service providers used by EduMzansi from time to time.

14.2. Your use of these third-party services is subject to their respective terms of service and privacy policies, which are independent of these Terms.

14.3. EduMzansi is not responsible for the content, policies, practices, or availability of third-party services, and does not endorse any third-party products or services.

15. DISPUTE RESOLUTION

15.1. In the event of any dispute arising from or relating to these Terms or your use of the Platform, you agree to first attempt to resolve the dispute informally by contacting EduMzansi at info@edumzansi.org.

15.2. If the dispute cannot be resolved informally within thirty (30) days, either party may initiate formal dispute resolution proceedings.

15.3. If the dispute cannot be resolved informally, the parties may agree to attempt mediation or arbitration in Johannesburg, South Africa, including through the Arbitration Foundation of Southern Africa (AFSA), where appropriate.

15.4. Nothing in this clause prevents either party from seeking urgent interim relief from a court of competent jurisdiction.

15.5. You also have the right to approach the National Consumer Commission (NCC), the Consumer Goods and Services Ombud (CGSO), or any other relevant consumer protection body.

16. GOVERNING LAW AND JURISDICTION

16.1. These Terms are governed by and construed in accordance with the laws of the Republic of South Africa.

16.2. Any legal proceedings arising out of or relating to these Terms shall be brought exclusively in the courts of the Republic of South Africa, specifically the Gauteng Division of the High Court, Johannesburg.

16.3. The following South African legislation applies: Consumer Protection Act (CPA), Act 68 of 2008; Electronic Communications and Transactions Act (ECTA), Act 25 of 2002; Protection of Personal Information Act (POPIA), Act 4 of 2013; Copyright Act, Act 98 of 1978; and any regulations promulgated thereunder.

17. GENERAL PROVISIONS

17.1. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, and any other policies referenced herein, constitute the entire agreement between you and EduMzansi regarding the use of the Platform.

17.2. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

17.3. Waiver

The failure of EduMzansi to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

17.4. Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of EduMzansi. EduMzansi may assign its rights and obligations without restriction.

17.5. Force Majeure

EduMzansi shall not be liable for any failure or delay in performing its obligations under these Terms caused by events beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, load-shedding, internet outages, war, terrorism, or civil unrest.
